GAME AND NATURE RESERVE, HELD ON OCTOBER 1ST 2011<br />
1. OPENING AND WELCOME<br />
Freddie la Grange welcomes everybody and thanks them for taking time to attend the<br />
meeting. There is a quorum and the meeting can continue. Freddie thanks Willy<br />
Goldswain in particular for the magnetic pin board he made. Visitors can now indicate<br />
where they saw animals of a specific species, as well as how many. After a discussion it<br />
is decided that the pin board will be put up in the office. Everybody in the reserve is<br />
invited to keep the board updated with their game counts and observations. We are<br />
working towards something similar that si being used in the Kruger National Park, for<br />
those who are familiar with that system.<br />
Freddie hands the meeting to Rick Mey who will be acting chairperson for the rest of the<br />
meeting.<br />

3. ITEMS FOR THE AGENDA<br />
3.1 Telephonic/ electronic conference<br />
Rick Mey explains that, in terms of the amendments made to the Companies Act, it is no<br />
longer to hold an annual meeting with the personal presence of the participants, in other<br />
words, a meeting where everybody, or at least a quorum, is present. In view of this there<br />
are three options for u to hold meetings in future, considering the need to have a social<br />
event and meet and familiarise with other shareholders. Die options are the following:<br />
a. everybody must attend the meeting<br />
b. telephonic/ electronic conference without physical attendance<br />
c. a combination of the options, i.e. telephonic/ electronic conference and the presence of<br />
shareholders during a meeting.<br />
3.2 Consolidation of companies<br />
Using a map, Freddie la Grange explains how the reserve is divided into four companies.<br />
With the new Companies Act, there may be any number of shareholders in one<br />
company, thus the four companies can be consolidated. Consolidation into one company<br />
has definite cost implications, regarding the transfer of title-deeds of the properties to the<br />
new company, which has to be investigated first before the process is carried out.<br />
Disadvantages of one company are: Title-deeds have to be transferred, which will be<br />
quite costly.<br />
Advantages of one company are: It will be easier to manage, and the audit costs wil be<br />
much less. The current costs are ± R12 000 per entity per audit.<br />
The matter will b investigated and shareholders will be kept posted. Whatever is decided<br />
on, there will be no negative implications for the shareholders.<br />
3.3 Financial statements<br />
Rick Mey mentions that he does not intend going through every single entry in the four<br />
audited statements, but it will be made available for whoever wants to look at it. He briefly<br />
goes through the statements of income and expenses, apologising for the statements not<br />
being made available beforehand. As soon as we receive the electronic statements it will<br />
be mailed to all shareholders.<br />
Freddie la Grange deals with the questions.<br />
It may seem that the statement of income could lead to some confusion due to the posttax<br />
losses. This is a result of postponed tax (a mere book entry) which occurred as a<br />
result of timing differences in the increase in the value of the property, accompanied by<br />
the development of the reserve. There are indeed no realised losses, and the losses that<br />
are reported, are merely book entries.<br />
The meeting asks for more informative management statements in order for the<br />
shareholders to understand it better. A summary of consolidated income and expense<br />
statements for the four companies as a whole will give the meeting a clearer picture of<br />
the needed information. Freddie and Rick undertake to send next year’s consolidated<br />
management statements to the shareholders before the AGM.<br />
3.4 Perde-Safarisentrum<br />
Rick Mey informs the meeting that a presentation regarding starting a horse safari centre<br />
was dealt with on the HOA meeting. There are already a few horses at Sean and Vilia’s<br />
place.<br />
The sustainable management and maintenance of horses require an essential current<br />
expense, but also directly contributes to the vision of the reserve, summarised as “life<br />
inspired by nature’s beauty.” The experience of riding through the reserve on horseback<br />
and be very near nature is an incredible experience. The meeting has to decide now on<br />
how the centre should be managed. At present it is only one section of the farming<br />
activities of the developer which does not receive due business attention to resent it to<br />
the reserve as a full-fledged service. The following options will be discussed:<br />
a. the Reserve as a whole takes over the full responsibility for the mounted centre, and<br />
all shareholders thus become part of the centre directly or indirectly, or<br />
b. it is a private activity involving only a few shareholders, who each adopts a horse to be<br />
taken care of.<br />
The meetings votes with 18 against 2 that the horses may be operated as a<br />
supplementary service of the reserve. How it will function in future will be investigated by<br />
Rick Mey. He undertakes to send an e-mail to each and every shareholder to test the<br />
interest for direct involvement of the shareholders. Only then will a plan of action be<br />
made and instituted.<br />
3.5 Nursery school<br />
Rick Mey explains to the meeting that the Reserve – and that includes every person in<br />
the Reserve – has a responsibility towards the community. He introduces Judy<br />
Lambrechts, who briefly explains that she is busy starting a nursery school for the basic<br />
educational needs of the pre-school children in the area. The initial focus is on the<br />
reserve and neighbouring farm, but it will be extended later to accommodate all the<br />
children of the farms in the area/ No application has been made for funding, as you only<br />
need to register when you have six or more children. The school, is currently in the initial<br />
stage, but will be working to becoming a full-fledged nursery school. At present, it is only<br />
open three days a week. Although there has been many contributions, e.g. a water tank,<br />
paint, carpets and rugs, and although the DR Church charges no rent for the use of the<br />
building there are still numerous other resources needed. A list of things that are needed<br />
will sent to shareholders with the minutes of the meeting, and any financial contribution<br />
will be much appreciated. The children’s parents will pay no school fees. The name of the<br />
nurery school is Lollapop.<br />
Henk Louwrens challenges everybody to donate R500 like he did.<br />
3.6 HOA rule<br />
Rick Mey mentions that there are shareholders who do not stick to the rules and<br />
highlights some of the rues that are specifically being violated:<br />
- The speed limit on the Touwsberg Private Game and Nature Reserve is 40 km/h.<br />
- Only persons with a valid driver’s licnce are allowed to drive in the Reserve.<br />
- Access to the La Grange Game Farm of Dr La Grange may only be obtained by means<br />
of a pre-arranged agreement.<br />
This rule applies to the hunting area. It is extremely dangerous to be there and you may<br />
only be there if you are accompanied by Sean or Freddie.<br />
- No person is permitted to make fires or collect wood from or on the development area.<br />
Should any member observe a fire within the development, they are to take immediate<br />
steps to alert the Reserve manager on channel ONE of the TPGNR internal radio<br />
frequency of such a fire and do all possible to stop the spread of the fire.<br />
- Keeping animals, birds, reptiles, insects, whether wild or domesticated;<br />
- Wood may ONLY be collected from designated stand near the main entrance to the<br />
development area.<br />
- Although water is provided FREE for personal consumption, home owners need to<br />
appreciate that water is a precious resource and the management thereof is vital.<br />
Bearing the above in mind and the source of the TPGNR water supply, swimming pools<br />
are not allowed. Only splash pools, limited in size and subject to the approval of the<br />
Management Committee may be built. Furthermore, home owners require the consent of<br />
the Management Committee to fill swimming pools.<br />
The provision of water is the responsibility of the developer, but the consumption of water<br />
is the responsibility of the shareholders. No gardens that could place any amount of<br />
pressure on the provision of water will be allowed.<br />

3.7 Recycling<br />
Rick Mey informs the meeting that Vilia and Yvandro have started a recycling project.<br />
Bags are available at Vilia’s and she may be contacted for any enquiries. Recycling is<br />
strongly promoted in the reserve.<br />
3.8 Train bridge<br />
Johan de Reuck wants to know whether it is possible to use the old train bridge for<br />
vehicles, upon which Freddie la Grange explains that the bridge is unfortunately not<br />
suitable for vehicles, as it is too narrow.<br />
3.9 Padstal<br />
Freddie explains that the vision with the roadside stall is to give interested parties in the<br />
reserve the opportunity to become involved in smaller secondary business opportunities<br />
in the form of projects such as crafts and baking. Die project is still only in the planning<br />
stages. Shareholders are invited to come up with initiatives. Investigations have indicated<br />
that the number of vehicles on the R62 route are, for instance, too low to justify a selfsustaining<br />
petrol station.<br />

GAME AND NATURE RESERVE SPECIAL MEETING HELD ON 25<br />

CHRISTIAN CENTRE<br />
WELCOMING<br />
Dr Freddie la Grange, Developer of Touwsberg Wolverfontein Private<br />
Nature &amp; Game Reserve opened the meeting and explained the<br />
background of the Reserve. He gave everyone present the opportunity to<br />
introduce themselves to the rest of the meeting.<br />
PURPOSE OF MEETING<br />
The purpose of the meeting is to integrate Wolverfontein (Plathuis) to the<br />
rest of Touwsberg Nature &amp; Game Rerserve, since the separating game<br />
fence of 3 km has been taken down and thus the game can now roam<br />
freely in the Reserve.<br />
DISCUSSION<br />
Mr Rick May, chairperson of the Touwsberg Home Owners Association,<br />
gave some background on:<br />
· The release of the animals in the Reserve,<br />
· Fractional ownership,<br />
· Position of house on the plot,<br />
· Five uses to create energy, (the use and colour of wind panels were<br />
discussed in more depth),<br />
· Aesthetic building regulations (which had been distributed with the<br />
agenda),<br />
· Rules and regulations of the HOA. The majority of shareholders<br />
attending the meeting were not in possession of the HAO rules.<br />
This document will be distributed with the minutes of this meeting<br />
· Telkom has been instructed to take down the telephone line which<br />
is a sore eye in Wolverfontein/Plathuis.<br />
CONCLUSION<br />
Wolverfontein and Plathuis is now officially part of Touwsberg Private<br />
Nature &amp; Game Reserve and will be known as such in future. However,<br />
since the new Company Act has not yet been promulgated, it will still be<br />
administratively managed as four Companies, namely Touwsberg 1 Pty<br />
(Ltd), Touwsberg 2 Pty (Ltd), Plathuis Pty (Ltd) and Wolverfontein Pty<br />
(Ltd). Once the new Companies Act is in place, the four companies will be<br />
consolidated into one Company. All shareholders present are invited to<br />
attend the AGM of Touwsberg Private Nature &amp; Game Reserve, starting at<br />
10:00.<br />

WELCOMING<br />
Dr Freddie La Grange, developer of Touwsberg Private Nature &amp; Game Reserve,<br />
opened the meeting and explained the background to the final decision to<br />
combine Touwsberg and Wolverfontein in one reserve, in future known as<br />
Touwsberg Private Game and Nature Reserve.<br />
Wolverfontein and Plathuis is now officially part of Touwsberg Private Nature &amp;<br />
Game Reserve (hereafter called the Reserve) and will be known as such in the<br />
future. The separating game fence of 3 km has been taken down and thus the<br />
game can now roam freely in the Reserve.<br />
DEVELOPER’S REPORT<br />
The development of the Reserve is running smoothly according to plan as been<br />
envisaged. The developer thanked his team. No voting will take place, since Dr<br />
La Grange is still the majority shareholder. Dr La Grange emphasised that he has<br />
no intention of using his authority to force an opinion or decision. 65 of the 125<br />
plots have been sold and 20 houses have been built. Item closed.<br />
FINANCIAL STATEMENTS<br />
Dr La Grange made a company statement that the company is not allowed any<br />
liability in order to ensure that this is a sound and fair business. The developer<br />
has to date claimed minor small accounts for services rendered in the Reserve.<br />
The Reserve will start paying expenses to the developer to maintain the Reserve,<br />
as income allows.<br />
The financial statements will be e-mailed to all the shareholders for approval, and<br />
comments have to be returned within 14 days of sending it.<br />
Since the new Company Act has not been promulgated, the Reserve will still be<br />
administratively managed as four Companies, namely Touwsberg 1 Pty (Ltd),<br />
Touwsberg 2 Pty (Ltd), Plathuis Pty (Ltd) and Wolverfontein Pty (Ltd). Item<br />
closed. As soon as the Companies Act will allow, the four companies will be<br />
consolidated into one (1) company and one (1) reserve.<br />
DISCUSSION<br />
ITEMS FROM PREVIOUS MEETING<br />
FENCE BETWEEN WOLVERFONTEIN AND TOUWSBERG<br />
The game fence between Wolverfontein and Touwsberg has been taken down<br />
and it is a good thing now with the draught. There are over 80 km of game<br />
fencing around the Reserve.<br />

Appeal: Dr La Grange requested that any defects on the Reserve be reported,<br />
i.e. wires lying around, baboons moving under game fence, etc. Item closed.<br />
REZONING<br />
The background on the rezoning issue is explained. Application for rezoning has<br />
already been made in 2007. Approval was granted in 2010, as a letter from the<br />
Kannaland Municipality indicated that the request for Touwsberg to be a formal<br />
Nature Reserve, has been approved and the approval has been referred to the<br />
Department of Agriculture for finalisation. The Reserve is already managed as if<br />
the application has been approved. The implications are that levies deposited<br />
into the bank accounts will no longer be used for expenses such as rates and<br />
taxes. Furthermore, rezoning offers more protection (the Reserve consists of 30<br />
different farms).<br />
MANAGEMENT OF ANIMALS<br />
The animals are breeding and increasing in numbers, a matter that has to be<br />
controlled in future. Game counting in the Reserve is, however, very difficult, but<br />
an estimation of between 400 and 600 animals is made. Dr La Grange is doing<br />
his utmost to control the numbers of the animals, and we will have to consider<br />
reducing the number of animals next year. Information regarding the exact<br />
number is a valid request and feedback on game spotted in the reserve is thus<br />
vital.<br />
Meanwhile, the meeting requests homeowners to look around and count the<br />
herds of animals and submit information to management or the office when they<br />
move around in the Reserve. If animals that are limping are observed, please<br />
radio Sean, the Reserve Manager. (If you do not possess a radio, you can buy<br />
one at a subsidised rate of R2500 00. Contact the office in this regard.)<br />
A leopard has taken a few animals in the Reserve. The Cape Leopard Trust has<br />
been contacted and they undertook to place some cameras on the Reserve. The<br />
management and control of leopards is very expensive (e.g. get another<br />
leopard). There are different ways of control, but the final solution has not yet<br />
been decided upon. A survey needs to be done next year.<br />
The Reserve will have a magnet chart in the office soon, which will indicate<br />
where the animals are roaming.<br />
There is good news with the springbucks: at one stage there were only 3 or 4,<br />
but their numbers have increased considerably. Meanwhile, we have observed<br />
that jackals are taking springbucks out. The problem of controlling the jackals has<br />
yet to be resolved. Electric fences could be a solution, but other problems arise<br />
from using this method – e.g. it is not suitable for tortoises. Another solution is a<br />
cheetah, but neighbouring farmers have sheep, and fences do not keep a<br />
cheetah in. Cheetahs and leopards pose no danger for hiking trails. Item closed.<br />
3<br />
PERMITS<br />
Permits are for sale at R20 each (including a license holder). Please fix sticker on<br />
right hand side of windscreen. The visitors’ permit will be referred to the<br />
management meeting for more detail.<br />
BUILDING GUIDELINES<br />
The building regulations have not changed. Of importance is the use of natural<br />
colour. Shareholders do not think alike and that is why the Committee need to<br />
approve all building plans.<br />
Some rules have changed as part of the learning curve to ensure that houses<br />
blend in. Dr La Grange and Ferdi (the builder) will visit the plots and determine<br />
the ground levels. It is emphasized that a sales contract cannot be changed;<br />
therefore if there are any inputs or concerns regarding the building regulations, it<br />
is requested that it be referred to the Committee. The Committee will not do<br />
anything to the detriment of the Reserve, since the selected decision makers are<br />
also shareholders, as is the developer himself. Item closed.<br />
NEW ITEMS<br />
BIRD/ ANIMAL HIDE<br />
The Reserve has a small bird hide at the water hole. When the issue of a bird<br />
hide was introduced, everybody was excited, as it was a wonderful idea,<br />
something the Reserve did not have at that stage. But now the shareholders<br />
want something better. A video clip was presented of a proposed bird hide. Any<br />
initiative that needs to be funded is an issue. This does not only hold for the bird<br />
hide, but also for initiatives such as a 4&#215;4 trail and hiking trails. Thus, a business<br />
plan needs to be compiled.<br />
4X4 TRAILS<br />
An in-depth discussion about an accessible road between Touwsberg and<br />
Wolverfontein took place. The initial principle when Dr la Grange started the<br />
development of the Reserve regarding roads was: what you get is what will stay.<br />

HIKING TRAILS<br />
Only hiking trails are seen as improvement. A hiking trail on the plateau of<br />
Touwsberg was initiated by Carl Wicht. Gert &amp; Joan Laing will assist him in this<br />
project. Feedback will be given through the Committee.<br />
ACCOMMODATION IN RESERVE<br />
The main concern in this regard is that the Reserve should not be used for any<br />
one to make money. Shareholders are referred to the contract and are also<br />
reminded of all the benefits of renting out their premises, as well as for<br />

marketing. Touwsberg is a PRIVATE Reserve and no day visitors are allowed.<br />
Shareholders are reminded that they may also make use of the Lewende Water<br />
facilities for functions. Item closed.<br />
CELLPHONE RECEPTION<br />
An investigation regarding the installation of an antenna took place two years<br />
ago, resulting in Cape Nature not approving the application of erecting an<br />
antenna. Although some plots in the Reserve have full reception no antennae will<br />
be allowed on the Reserve. However, homeowners can apply for individual miniantennas<br />
from their service providers. Item closed.<br />
SAFARI TENTS<br />
Caravans and tents are allowed over weekends and holidays, but need to be<br />
camouflaged. The only safari tents in the Reserve were done very professionally<br />
on the foundation of the house to be built. The owner of the safari tents is aware<br />
that these need to be removed within two years from purchase. Approval in this<br />
was given as an exception on the rule, and will not be granted again. Item<br />
closed.<br />
MANAGEMENT OF ANIMAL WATER HOLES<br />
Animal water holes will no longer be filled, since there are enough dams and<br />
rivers in the Reserve. Only after rains the water holes will be full for a period of<br />
time.<br />
SELECTION OF COMMITTEE MEMBERS<br />
Nominations: Willy Goldswain; Carl Wicht; Michiel Lambrechts.<br />
Michiel Lambrechts and Willy Goldswain have been elected as new members of<br />
the HOA Committee. All other members have been re-elected.<br />
